Terms of Use

These Terms of Use ("Terms") are an agreement between you and FinSharpe Private Limited ("FinSharpe", "we", "us"), registered office 506 Seasons Business Square, Aundh, Pune 411007, for your use of the FinSharpe mobile app, the FinSharpe web app and the services they connect to (the "Service"). By creating an account or using the Service you accept these Terms and our Privacy Policy. If you do not accept them, do not use the Service.
1. Who can use FinSharpe
- You must be at least 18 years old and able to enter into a binding contract under Indian law.
- The Service is intended for users in India.
- You may browse some parts of the app without an account. Chat, connected investments and reports need an account.
2. What FinSharpe is — and is not
FinSharpe Private Limited (CIN U66190PN2021PTC201064) is registered with SEBI as an Investment Adviser, registration number INA000018489, valid from 13 October 2023 (perpetual), and is enlisted with BSE Administration and Supervision Limited under BASL2075.
The app provides market information, research, portfolio analytics and an AI assistant ("FinSharpeGPT").
- General information, not personal advice. Unless you have signed a separate investment advisory agreement with us — after which advice is given under that agreement and the SEBI (Investment Advisers) Regulations, 2013 — everything in the app, including chat answers, analytics, alerts, strategies, IPO insights and reports, is general information for education and research. It does not take your full financial situation, objectives or risk profile into account, and it is not a recommendation to buy, sell or hold any security.
- We do not execute trades or hold your money or securities. The app has no broker connection.
- Past performance does not indicate future results. Figures such as returns, scores and projections are calculations from data available at the time, not promises.
Investment in securities market are subject to market risks. Read all the related documents carefully before investing.
Registration granted by SEBI, membership of BASL and certification from NISM in no way guarantee performance of the intermediary or provide any assurance of returns to investors.
3. AI-generated answers
Chat answers and parts of reports are generated by AI models from third-party providers, working with market data, filings and the information you provide.
- AI output can be wrong, incomplete or out of date, even when it cites sources. Check important facts against the cited source and the original documents before relying on them.
- The app shows sources and a reliability indicator where it can. These describe how the answer was produced; they do not guarantee it is correct.
- We may decline to answer some requests, for example requests that include another person's identity documents or account numbers.
- Do not put information into chat that you are not entitled to share.
The AI providers' rules apply to you too. We reach the AI models (today from OpenAI, Anthropic and Google) through our AI routing provider, OpenRouter, Inc. By using chat you agree to follow OpenRouter's Terms of Service and the terms and usage policies of the provider of each AI model that answers you (listed by OpenRouter), as they apply to you as a user of FinSharpe. Section 7 sets out what this means in practice. If OpenRouter or a model provider requires it, or reasonably believes those terms have been broken, we may limit or suspend your use of chat or of a particular AI model.
4. Your account
- Give accurate information when you register, and keep it up to date.
- Keep your password to yourself. You are responsible for activity on your account. Tell us at info@finsharpe.com if you think someone else has used it.
- One person per account. Do not create accounts by automated means or to get around a limit or suspension.
- You can delete your account at any time; see how to delete your account.
5. Connecting your investments
You can connect accounts through MoneyOne (OneMoney), an Account Aggregator licensed by the Reserve Bank of India.
- Data is fetched only with the consent you approve on MoneyOne's page, for the purpose, period and frequency shown there.
- You can revoke a connection in the app or directly with OneMoney at any time.
- Portfolio figures depend on the data the institutions holding your accounts send. They may be delayed, incomplete or valued differently from your broker or registrar statement. Your official statements prevail.
- How we handle this data is set out in the Privacy Policy.
6. Credits and reports
What credits are.
- Chat and research reports are measured in credits, held in your account to two decimal places.
- Credits cannot be bought. They have no cash value, cannot be exchanged for money, cannot be transferred to another account, and do not expire. Nothing is sold in the app.
- We add credits to your account when you sign up. We may add more at our discretion, for example when you ask us for them at info@finsharpe.com, or with Request credits where the app offers it.
- The app shows your balance before you run a report. Where the app offers it, it also shows a history of the credits each chat answer and report used, and of the credits added to your account.
Chat.
- You can have up to three answers in progress at once.
- If we cannot record your usage or check your balance, chat is briefly unavailable; try again in a minute.
- Chat answers do not use your credits yet. When they start to, the app shows the credits each answer uses, where it can. The rest of this part describes how chat uses credits from then on.
- Each chat answer uses credits in proportion to the AI processing it took: screening your message, producing the answer (including the data it looked up, any automatic retry and any back-up AI model), checking the answer against its sources, and suggesting follow-up questions. An answer that stops, times out or ends with an error still uses credits for the work already done.
- The credits an answer uses can go up, never down, for up to 24 hours after you asked, while our providers confirm what the answer cost; after that they are final. Where the app shows them, they appear with the answer and in your credit history.
- You can start a chat answer only while your balance is above zero. An answer that has started always finishes, even if it takes your balance below zero. A balance below zero is not a debt: you never owe us money, and credits added later first make up the difference.
- While your balance is at or below zero, chat is paused until credits are added.
Reports.
- Each research report has a price in credits, which the app shows, with your balance, before you run it. We charge the price in force when you start the report, and your balance must cover it. Where the app supports it, if the price has changed since the app showed it, the app asks you to confirm the new price before anything is charged.
- The credits are taken when you start the report. The price is the same whether the report is produced for you or was already produced, or is being produced, for the same inputs.
- If the run fails, all of its credits are returned to your account. A report that is published with some sections incomplete, or with data gaps that were shown to you before you ran it, is not a failed run.
- A report you have run stays available in your account for as long as your account exists. If you create a share link for a report, anyone with the link can open it until you revoke the link.
Changes. We may change how many credits a feature uses. The app shows a report's price before you start it. If you delete your account, unused credits are lost.
7. Acceptable use
Do not:
- use the Service for anything unlawful, including market manipulation, insider trading or misleading other investors;
- present FinSharpe content as advice you are giving, or redistribute, resell or publish it at scale without our written permission;
- scrape, crawl or bulk-download data from the Service, or use it to build a competing dataset or model;
- resell access to the AI models behind chat, or use chat to build a competing AI service;
- try to make an AI model ignore its instructions or safety rules — for example by jailbreaking or prompt injection — or test it adversarially ("red-teaming");
- use chat to create or submit content that OpenRouter's terms or the AI model providers' terms or usage policies prohibit;
- use a VPN, proxy or other means to use chat, or a particular AI model, from a country or region where its provider does not make it available;
- try to access other users' data, probe or break our security, or interfere with the Service's operation;
- reverse engineer the app except where the law allows it;
- upload malware, or content that is abusive, defamatory, or infringes someone else's rights.
8. Intellectual property
The app, its design, software, research, reports and the FinSharpe and FinSharpeGPT names and logos belong to us or our licensors. We give you a personal, non-exclusive, non-transferable, revocable licence to use the app for your own investing research while you comply with these Terms.
Market data, news, filings and fund data come from third-party providers and remain theirs. Open-source software in the app is licensed under its own terms, listed in the app under About → Open-source licences.
Your messages and uploads remain yours. You give us the rights we need to process them to provide the Service, as described in the Privacy Policy.
9. Third-party services and content
The Service relies on third parties, including our AI routing provider OpenRouter, AI model providers, market-data and news providers, MoneyOne and the financial institutions behind it, Google Firebase and app stores. News links, filings and videos open third-party sites. We are not responsible for third-party content or services, and their own terms apply to your use of them, including the AI provider terms in section 3.
10. Availability and changes
We work to keep the Service available and accurate, but it is provided as available. Features, data coverage and AI models may change, be interrupted or be withdrawn — for example when a data provider or AI provider is unavailable. We may update the app, and some features may require the latest version.
11. Suspension and termination
You can stop using the Service and delete your account at any time. We may suspend or close an account that breaches these Terms, creates legal or security risk, or where the law requires us to. Where it is reasonable and lawful, we will tell you why. Sections 2, 3, 8, 12, 13, 14 and 15 survive termination.
12. Disclaimers
To the extent the law allows, the Service and its content are provided "as is" and "as available", without warranties of accuracy, completeness, fitness for a particular purpose or uninterrupted availability. Nothing in these Terms limits rights you have under the Consumer Protection Act, 2019, or obligations we have as a SEBI-registered intermediary that cannot be excluded.
13. Limitation of liability
To the extent the law allows:
- we are not liable for investment decisions you make or losses you incur from using, or relying on, information in the Service;
- we are not liable for indirect, incidental, special or consequential loss, or for loss of profits, data or opportunity;
- our total liability to you for any claim relating to the Service is limited to the amount you paid FinSharpe in the 12 months before the claim, or ₹1,000, whichever is higher.
These limits do not apply to liability that cannot be limited by law, including liability for fraud or wilful misconduct.
14. Indemnity
You agree to compensate us for losses and reasonable costs arising from your breach of these Terms or your misuse of the Service, to the extent the law allows.
15. Governing law and disputes
These Terms are governed by the laws of India. Subject to the grievance and dispute routes below, the courts at Pune have exclusive jurisdiction.
Grievances. Contact our Grievance Officer, Mr. Sabir Bakir Jana, at info@finsharpe.com or +91 7028004994. Complaints about our investment advisory services follow the grievance redressal process in our Investor Charter:
- Write to us. Contact the Grievance Officer. We respond within 21 days of receiving your complaint.
- Escalate to SEBI. If you are not satisfied, lodge the complaint on SCORES 2.0 (https://scores.sebi.gov.in), where it is reviewed first by the designated body (IAASB) and then by SEBI, or email it to the IAASB.
- Online dispute resolution. If it is still unresolved, take it to SmartODR (https://smartodr.in) for online conciliation or arbitration.
You can also write to the Office of Investor Assistance and Education, Securities and Exchange Board of India, SEBI Bhavan, Plot No. C4-A, G Block, Bandra Kurla Complex, Bandra (E), Mumbai 400051.
Complaints about your personal data may also go to the Data Protection Board of India, as the Privacy Policy explains.
16. Changes to these Terms
We may change these Terms. We will update the date at the top and, for material changes, tell you in the app or by email before they apply. If you keep using the Service after a change applies, the updated Terms apply to you.
17. General
If a court finds part of these Terms unenforceable, the rest stays in force. Our not enforcing a term is not a waiver of it. You may not transfer your rights under these Terms; we may transfer ours as part of a reorganisation or sale of the business, with notice to you. These Terms and the Privacy Policy are the whole agreement between us about the Service, except any separate investment advisory agreement you sign with us, which prevails for the advice it covers.
